Methods of disseminating company communications to shareholders
Pursuant to Rule 2.07A of the new Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (effective from 31 December 2023), Tiande Chemical Holdings Limited (the “Company”) will publish the Company’s communications, namely any documents that the Company has published or will publish, to its shareholders (the “Shareholders”) electronically for reference or action by any of its securities holders or the investing public (the “Company Communications”), and will only send printed copies of the Company Communications to Shareholders upon request, where applicable.

 

Company Communications

 

Both Chinese and English versions of the Company Communications are available on the Company's website (www.tdchem.com) and the Hong Kong Stock Exchange website (www.hkexnews.hk). Shareholders are encouraged to actively track all future corporate communications of the Company on the aforementioned websites.

 

Action-Available Corporate Communications

 

Action-Available corporate communications refer to any corporate communications that involve requesting instructions from shareholders on how they intend to exercise their relevant shareholder rights or options.

To the extent that the Company has obtained shareholders' email addresses and the language version selection for all future actionable company communications (see the "Choosing a Method of Receiving Company Communications" section below), the Company will send actionable company communications in English or Chinese electronically to each shareholder by email, according to their chosen method. If the Company has not obtained a shareholder's email address or the email address provided is invalid*, a printed copy of the actionable company communication, along with a request for a valid email address, will be mailed to the relevant shareholder at the address shown in the Company's shareholder register for future publication of company communications.

 

Choose your method of receiving company communications

 

The Company will send a one-time notice to registered and unregistered shareholders, encouraging them to complete and sign the accompanying reply slip to provide the Company with their email address and language options for all future company communications.

Shareholders may at any time change their language selection or the method of receiving all future corporate communications by giving written notice to the Company's share registrar by completing and submitting the relevant application form and mailing it to 17M Floor, Hopewell Centre, 183 Queen's Road East, Wanchai, Hong Kong, or by emailing it to ir@tdchem.com. The change request will take effect on the 7th working day from the date the Company's share registrar receives such request and will apply to all future corporate communications until the shareholder no longer holds shares in the Company or has notified the Company's share registrar of any change by completing and submitting the relevant application form.

 

Provide Printed Copies

 

If a shareholder has chosen (or is deemed to have chosen) the electronic communications and encounters any difficulty in accessing them for any reason, or wishes to receive a printed copy of the communications, the Company will, upon receiving a written request from the shareholder to the Company's share registrar (address: 17M Floor, Hopewell Centre, 183 Queen's Road East, Wanchai, Hong Kong) or via email to ir@tdchem.com, promptly send a printed copy to the shareholder at no cost.
